BY CLICKING “ACCEPT” BELOW, YOU AGREE THAT THESE TERMS AND CONDITIONS REPRESENT THE ENTIRE AGREEMENT CONCERNING YOUR USE OF THE SITE. NO OTHER COMMUNICATION WILL BE CONSTRUED AS, OR CONSTITUTE, A WAIVER OF THESE TERMS AND CONDITIONS OF USE, OR ACCEPTANCE OF ANY ADDITIONAL TERMS, CONDITIONS OR SPECIFICATIONS, AND CSI SCORE HEREBY OBJECTS TO ANY SUCH ADDITIONAL OR CONTRARY TERMS, CONDITIONS OR SPECIFICATIONS.
1. REGISTERED USERS.
All Site registered users must be at least 18 years old and legally able to agree to these Terms and Conditions, and must provide and update accurate registration information.
2. ACCESS.
You will choose a user name (your email) and password to use in establishing and accessing a CSI SCORE user account. Your account will allow you to post reviews and comments on the Site. You must not share your username and password with any other party. You assume responsibility for any unauthorized use of your username or password, and you must promptly inform CSI SCORE of any actual or suspected unauthorized use.
3. SECURITY.
You agree not to interfere, disrupt, or attempt to interfere or disrupt the operation of the Site or of the networks connected to the Site, and to abide all security policies adopted by CSI SCORE. You acknowledge and agree that, for security purposes, CSI SCORE may monitor your account and your access to and use of the Site. CSI SCORE may at any time terminate or suspend your access to the Site as CSI SCORE considers appropriate or necessary in its sole discretion for security reasons, any alleged or suspected breach of these Terms and Conditions, to protect intellectual property or for any other reason in CSI SCORE’s sole discretion. CSI SCORE may also impose limits on certain features and functions of the Site, or restrict your access to the Site without notice or liability.
4. YOUR POSTINGS.
You may post reviews and comments on the Site with respect to the businesses referenced on the Site, in the manner provided through the Site, as that may change from time to time. You may post reviews and comments with respect to only those businesses from which you have actually purchased goods and/or services. Your postings must be truthful in all respects, and must accurately reflect your experience with the subject businesses. You must not have multiple registrations, encourage others to post any comments that are inaccurate or otherwise inconsistent with these Terms and Conditions or otherwise attempt to influence the rating, reputation or image of any business, product or service. You must not post any review or comments that address any business that you own, control, have any financial or other interest in, or are employed by, or any competitor to any such business.
Your postings must not violate, plagiarize or infringe the rights of third parties whether of a proprietary nature or otherwise. Your postings must not contain any profanity, or any obscene, indecent or other objectionable content, and must not threaten or defame others
CSI SCORE may at any time limit the number of postings that you may make. CSI SCORE may, but is not obligated to review your postings at any time. CSI SCORE may at any time take down any posting in CSI SCORE’s sole discretion. No display of any posting at any time is a waiver of CSI SCORE’ right to take that posting down. CSI SCORE’s right to review, refuse and take a posting down is not an assumption by CSI SCORE of any responsibility for that posting.
5. LICENSES.
You grant CSI SCORE a perpetual, worldwide, irrevocable, royalty-free license, with the right to grant sublicenses, to (i) modify and create derivative works based upon the content of your postings, and (ii) reproduce, display and distribute your postings, modified versions of your postings and derivative works based upon your postings.
"Transactional Data" means all information collected by CSI SCORE, or to which CSI SCORE has access, that relates to your access and the use of the Site. You grant CSI SCORE a perpetual, worldwide, irrevocable, royalty-free license, with the right to grant sublicenses, to (i) use Transactional Data in any manner for CSI SCORE’s internal business purposes, including the provision of services to CSI SCORE customers and other third parties, (ii) prepare and distribute reports and analyses of Transactional Data, provided that such reports and analyses do not disclose any individual personal or business identity, and (iii) distribute and disclose Transactional Data that is de-identified and aggregated with other data, and grant third parties rights use and analyze such data for their internal business purposes.
Should you provide any suggestions for changes, improvements, modifications, additions or enhancements to the CSI SCORE’s services or the Site (i) such suggestions will not be confidential in any manner, (ii) CSI SCORE will be free to adopt, implement or use such suggestions in any way, and (iii) to the extent necessary to provide such rights, you grant CSI SCORE a perpetual, irrevocable, worldwide, royalty-free license to implement such suggestions, including but not limited to the exercise of all of your applicable rights under copyright law.
6. INFORMATION AND CONTENT ON THE SITE.
CSI SCORE does not guarantee the accuracy of any information on the Site, including but not limited to reviews and comments with respect to businesses referenced on the Site or their products or services.
CSI SCORE is not responsible for, and will have no any liability of any kind with respect to businesses referenced on the Site or their products or services. CSI SCORE does not sell, resell or otherwise provide any of the products or services of businesses referenced on the Site. CSI SCORE has no control of the conduct or business practices of businesses referenced on the Site. You should direct to the applicable business all complaints and claims with respect to businesses referenced on the Site or their products or services.
7. LINKS.
As a convenience, CSI SCORE may provide links to websites operated by other entities. If you access these websites, you will leave the Site. If you decide to visit any linked website, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements. CSI SCORE makes no warranty or representation regarding, and does not endorse, any linked websites or the information appearing on those websites or any of the products or services described on those websites. Links do not imply that CSI SCORE sponsors, endorses, is affiliated or associated with, or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in, or accessible through the links, or that any linked website is authorized to use any trademark, trade name, logo or copyright symbol of CSI SCORE.
You may not link to the Site without the prior consent of CSI SCORE.
8. INTELLECTUAL PROPERTY.
You acknowledge and agree that all information and content that you access or that is made available to you through the Site, including, but not limited to, information, text, graphics, trademarks, logotypes, data and data compilations, is the property of CSI SCORE, its customers or its suppliers. United States and international trademark, copyright and other intellectual property right laws protect that information and content.
You may not modify, publish, distribute, reproduce, display, or modify or create derivative works based upon any content or information on the Site at any time. You may not use any robot, spider or other automatic device to monitor or copy any portion of the Site. You may not frame any portion of the Site in another website.
9. INDEMNITY.
You will indemnify, defend and hold CSI SCORE and its officers, directors and employees harmless from all loss, cost, damage and expense arising from or related to your postings, your use of the Site, your transactions with businesses and referenced on the Site and their products and services, and the breach of these Terms and Conditions.
10. DISCLAIMER OF WARRANTIES.
ACCESS TO AND USE OF THE SITE IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE." CSI SCORE MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND WITH RESPECT TO THE SITE, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, WHICH CSI SCORE HEREBY EXPRESSLY DISCLAIMS.
CSI SCORE DOES NOT GUARANTEE THAT YOUR ACCESS TO THE SITE WILL BE UNINTERUPTED OR ERROR-FREE, OR THAT INFORMATION OR OTHER CONTENT OBTAINED THROUGH THE SITE WILL BE USEFUL OR THAT IT WILL SATISFY YOUR REQUIREMENTS. CSI SCORE WILL NOT BE LIABLE FOR ANY DELAY, DOWN TIME, OR OTHER FAILURE OF PERFORMANCE.

CSI SCORE WILL HAVE NO LIABILITY FOR ANY LOSS OR DAMAGE ARISING OUT OF, OR RELATING TO THE SITE. IN NO EVENT WILL CSI SCORE’S LIABILITY OF ANY KIND INCLUDE ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL LOSSES OR DAMAGES, EVEN IF CSI SCORE SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH POTENTIAL LOSS OR DAMAGE, OR EXCEED $100.

CSI SCORE may change these Terms and Conditions at any time, with or without notice. You are responsible for monitoring the Site to keep informed about any changes
13. GENERAL.
CSI SCORE may assign its rights and obligations under these Terms and Conditions without your consent. You may not assign any of your rights and obligations under these Terms and Conditions without the prior written consent of CSI SCORE.
Any notice permitted or required to be given by you under these User Terms and Conditions will be deemed given and effective when sent to CSI SCORE at: admin@csiscore.com. Any notice permitted or required to be given by CSI SCORE under these User Terms and Conditions will be given and effective when sent to you at the e-mail address provided in your registration for a CSI SCORE account.
These Terms and Conditions will be interpreted and construed in accordance with the laws of the State of Arizona. Any action arising out of, or relating to, this Agreement may be brought in courts situated in Maricopa County, Arizona, and you consent to the jurisdiction of such courts.
If any part of this Agreement is held illegal, void or ineffective, the remaining portions will remain in full force and effect. No failure by either party to take any action or assert any right under this Agreement will be deemed to be a waiver of that right in the event of the continuation or repetition of the circumstances giving rise to that right
The provisions of these Terms and Conditions will remain in effect after the termination of your account or your termination of use of the Site.
